We are not responsible for, and do not guarantee the accuracy of, any Content, Submission, ratings or Reviews. You are free to browse the Site for your personal, non-commercial use. Any other reproduction of the Content is strictly prohibited. Further, you may not use the Site to solicit or advertise in any manner.

Content

The Site provides valuable content to our Site visitors concerning the quality and reputation of precious metal dealers, the pricing of precious metals, as well as other subjective information like friendliness and overall rating of a consumer's experience. All content on the Site and/or otherwise distributed or made available to you by or on behalf of PM WEB ("Content") is the exclusive property of PM WEB, its licensors, or the provider of such Content, which also includes Submissions and Reviews (each as defined below).

PM WEB takes no responsibility and assumes no liability for any Submissions posted by you or any third party.

You are solely responsible for your Submissions. You assume all risks associated with use of your Submissions, including any reliance on its accuracy, completeness or usefulness by others, or any disclosure by you of information in the Submissions that makes you personally identifiable.

In connection with and as part of the Submissions, the Site allows visitors to rate precious metals dealers by submitting reviews and ratings of specific dealers and their experiences with such dealers (collectively, "Reviews") and/or read reviews and ratings of dealers submitted by other visitors of the Site. PM WEB is not liable for any statements, representations, descriptions, comments, or opinions provided in Reviews on the Site. PM WEB cannot guarantee the accuracy, integrity, or quality of Reviews. Under no circumstances will PM WEB be liable in any way for any Review, including, but not limited to, any errors or omissions in any Review, or any loss or damage of any kind incurred as a result of the use of or any Submission as part of such Review.

PM WEB shall have the right, but not the obligation, to reject, refuse to post, or otherwise monitor all Submissions and may remove or require the removal of any and all Submissions for any reason. In addition, PM WEB or its third-party administrator may edit, modify, or otherwise alter your Submissions for length, clarity, or to make sure it conforms to the Site’s Posting Guidelines with no notice and at PM WEB's sole discretion.

Warranties and Disclaimer

The Site is provided “AS IS” and on an “AS AVAILABLE” basis without any representation or endorsement of any kind. To the fullest extent permitted by applicable law, we disclaim all warranties, conditions and other Terms of any kind, express or implied, in connection with the site and your use of the site (including, without limitation, as to satisfactory quality, fitness for a particular purpose, non-infringement, compatibility, security and accuracy). Updates to the Terms/Site

PM WEB has the right to modify these Terms and any policies affecting the Site at any time and for any reason. Any modification is effective immediately upon posting to the Site or distribution to you via electronic mail, conventional mail, or text messaging. Your continued use of the Site following notice of any modification to these Terms shall be deemed an acceptance of all such modifications. Your only right with respect to any dissatisfaction with any modifications made pursuant to this provision, or any policies or practices of PM WEB in providing the Site is to stop using the Site and terminate your account, if applicable.

In addition, PM WEB has the right to modify, suspend, or discontinue the Site or any portion thereof at any time, including the availability of access to any area of the Site. PM WEB may also impose limits on certain features and services or restrict your access to parts or all of the Site without notice or liability.

Termination

PM WEB reserves the right to restrict, suspend, or terminate your access to the Site in whole or in part, without notice, with respect to any breach or threatened breach by you of any portion of this Agreement. If PM WEB terminates your access or use of the Site based on a breach by you of these Terms, PM WEB reserves the right to refuse to provide access to the Site to you in the future.

Indemnity

You agree to indemnify us and any of our officers, directors, employees, agents, representatives, licensors, suppliers and operational service providers on demand against any and all claims, actions, proceedings, demands, damages, losses, liabilities, costs, and/or expenses suffered or reasonably incurred by us as a result of, or in connection with, your access to and use of the site, including but not limited to Submission and Reviews generated by you, other than in accordance with these terms or any applicable law or regulation.

Governing Law; Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the state of Texas. By using the Site, you specifically consent to jurisdiction in the state of Texas in connection with any dispute arising out of these Terms or pertaining to the subject matter hereof. You further agree that venue for any dispute arising out of these Terms or pertaining to the subject matter hereof shall be exclusively in the courts of the state of Texas or the United States District Court located in the Western District of Texas, Austin Division, as applicable. These Terms constitute the entire agreement between you and PM WEB with respect to the Site and supersedes all prior agreements between you and PM WEB. Failure by PM WEB to enforce any provision of these Terms shall not be construed as a waiver of any provision or right. In the event that any portion of these Terms is held unenforceable, the unenforceable portion shall be construed in accordance with applicable law as nearly as possible to reflect the original intentions of the parties, and the remainder of the provisions shall remain in full force and effect.
